September 25, 2010 Ponderosa Park Association Meeting
In the absence of President Kathy OBrien, Vice President Ron Midkiff opened the
meeting at 4 p.m.
Prior to the meeting there were 18 paid members; five more people joined right before
the meeting. According to the Bylaws, a quorum of 20 percent of paid members is necessary
to conduct business; more than five paid members were in attendance.
Ron said that if we wanted this association to continue we would need to fill a full
slate of officers. The six officers and board members who attended the May board meeting
agreed then to ask members at the annual meeting to consider dissolving the association.
Mike Brockert, who was not present at the May meeting, spoke in favor of continuing the
association. He volunteered to be an officer but said he could not do it without help from
others. He pointed out the many good things the association has done in the past
(including establishing the picnic area, road clean up and bringing in dumpsters for
residents use) and noted that the association is a unified voice that can speak to
the Forest Service and Yavapai County officials about issues that concern us. There was
much favorable discussion from those present concerning continuing the association.
It was mentioned that although the Bylaws say meetings will be held quarterly, it has
become customary to have two meetings per year. Although non-resident association members
can serve on the board, it would be difficult for them to hold offices such as president
and treasurer.
The motion was made and seconded (Mike Brockert/Ed Nesdill) that the Ponderosa Park
Association be continued. The motion passed.
Many people then volunteered to become an officer or board member. Although motions
were made and seconded, this secretary could not identify the voices of all who spoke.
Members unanimously approved the following to serve the PPA for the next year, with their
terms beginning immediately:

Ron said that he would talk to the new officers/board members soon about meeting this
fall. It was noted that the Bylaws allow for phone and/or email meetings in addition to
meetings where all members are present.
Patricia Brockert suggested that we should have a sign listing the PPA web site at the
Park entrance. Larry said he could make the sign. After discussion as to the legality of
such a sign, the issue was tabled until Ron could research it further.
A motion was made and seconded (Ray Sola/Randy Swedlund) that new residents be given
their first year of membership in the association free. There was discussion regarding how
we would get information on new homeowners. The motion was tabled and Ron said he would
look into this issue also.
Approximately 4:50 p.m. the motion was made and seconded (Ed Nesdill/Mike Brockert) to
adjourn the meeting and start the picnic. Motion passed.
